Porto's facilities were founded in 1997. How can the company be founded in 1999?

Infineon was 'spun off' at a price of nearly 80/share, now it's trading below 7/share. don't you think that's worth mentioning? maybe as a perfect example, how big companies like siemens quickly make a few billion dollars?
