Indication of Interest (in financial trading)

An Indication of Interest (IOI) is an investor's interest in buying a security before it is available for purchase. Securities in the United States must be cleared by the Securities and Exchange Commission. During this period, the security is said to be in registration and selling is illegal. However, brokers may send a preliminary prospectus to investors who submit an Indication of Interest. An Indication of Interest is not a commitment to buy.
